3. Using the Services

3.1. Availability of the Services

We do not guarantee the availability of the Services at all times, as it may be subject to limitations, delays, and other problems inherent in the use of the Internet and electronic communications, blockchain network congestion, or network issues, all of which are out of the control of ImportaPay.

3.2. User Eligibility

To use the platform, you must:

  1. Be at least 18 years old (or the legal age of majority in your jurisdiction).

  2. Have the legal capacity to enter into a binding agreement.

ImportaPay reserves the right to verify your identity and request additional documentation before granting full access to the platform.

3.3. User Obligations

To access and continue using the platform, you agree to:

  1. Complete the necessary registration and verification processes and comply with all applicable laws and regulations.

  2. Be responsible for maintaining the security and confidentiality of your login credentials.

  3. Use the platform in accordance with these terms of use.

3.4. Account Registration & Security

3.4.1. To use the Platform and access the Services, you must create a personal or business account.

3.4.2. You can follow the link on our website to your mobile application store to download our mobile wallet.

3.4.3. By creating an account, you agree that you are responsible for maintaining the confidentiality of your account credentials.

3.5. KYC, KYB and Identity Verification

3.5.1. ImportaPay requires individual users to complete KYC verification using:

  • Personal information, including your name, phone number, and date of birth.

  • Financial information, including your BVN.

  • Identity information such as a government-issued ID—national identity number (NIN) slip or card, passport, driver’s license, or voter’s card.

3.5.2. Businesses using the Services are required to complete KYC verification using:

  • Business information, including corporate documents such as copies of the CAC certificate, status report, and TIN.

  • A director’s or proprietor’s personal information is who is assigned by the business to create an account.

  • A selfie of the director or proprietor.

3.6. Due Diligence, Anti-Money Laundering, and Counter-Terrorism Financing

3.6.1. ImportaPay is committed to providing compliant, safe, and reputable services and will identify, detect, prevent, and report on money laundering, terrorist financing, and other improper activities under applicable anti-money laundering (AML), anti-corruption, cybercrime laws, and other laws.

3.6.2. ImportaPay may assess your request to make or receive payments to provide the services. You agree to provide documentation, information, or records requested by ImportaPay at any time, including, without limitation, a self-certification permitting the determination of tax residence and status under applicable laws.

3.6.3. Where ImportaPay needs to retain certain information, documentation, and records in accordance with applicable laws and its contractual relationships, you agree that you grant ImportaPay the unreserved right to keep such information, documentation, and records.

3.6.4. Using our AI Risk Engine, ImportaPay monitors and assesses suspicious or sanctionable transactions under applicable AML, anti-corruption, and economic sanctions laws, as well as undertakes mandatory reporting to relevant law enforcement authorities. These undertakings shall apply even when you suspend or terminate your relationship with ImportaPay. Our policies apply to any and all digital tokens, fiat, and other funds or property being exchanged on or through the Platform or by any of you, your affiliates, or any of ImportaPay’s partners and associates.

3.7. Prohibited Activities

You agree to use the Platform for lawful purposes only, and in your use of the Platform, you shall not do any of the following:

  1. Breach, compromise, or circumvent any of the services or otherwise attempt to gain unauthorised access to the services.

  2. Remove, alter, or obscure any copyright, trademark, or other intellectual property or proprietary notices contained in the services.

  3. Distribute, rent, sublicense, lease, lend, sell, resell, assign, transfer, transmit, stream, broadcast, or otherwise make available or exploit any features or functionality of the Services.

3.8. Actions by ImportaPay

ImportaPay has the right to enforce appropriate measures against you if you engage in any of the prohibited activities in Clause 3.7, which may include the following:

  1. Reporting you to the relevant law enforcement agency or other authorities.

  2. Suspending or terminating your access to the platform.

  3. Demanding you pay a determined amount to us, where your actions or inaction result in the imposition of economic costs to us, including, without limitation, the amount of taxes or penalties that might be imposed on us.

  4. Refusing to provide our services to you now and in the future.

3.8. Non-Custodial Nature of ImportaPay.

Importapay facilitates fund transfer through its licensed financial partners.

Importapay does not hold, manage, or have custody of any users' funds at any point during the transaction process. All funds are transferred directly from the user's bank account with banking partners to the recipient account.

3.9. Currency Exchange Transactions

For international transactions, Importapay will provide users with a live exchange rate before you confirm the transaction. Rates are provided by our financial partners and are valid at the time of confirmation.

3.10. Responsibility of Accuracy

It is the responsibility of users to ensure that all information, such as onboarding information, KYC information, and transactional information, is accurate.

Importapay shall not be held liable for delays or losses resulting from errors in the information you provide.
