6. Liability, Indemnity & Warranties
6.1. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPORTAPAY, ITS AFFILIATES, EMPLOYEES, AGENTS, PARTNERS, OR SUPPLIERS SHALL NOT BE LIABLE FOR ANY CLAIM, LOSS, DAMAGE, INJURY, DELAY, INTERRUPTION, OR ANY INCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES, SUCH AS LOSS OF FUNDS, LOSS OF DATA, BUSINESS INTERRUPTION, LEGAL FEES, OR OTHER EXPENSES ARISING FROM:
YOUR INABILITY TO ACCESS OR USE THE IMPORTAPAY SERVICES;
ANY DECISION OR ACTION TAKEN BY IMPORTAPAY AFFECTING YOUR RIGHTS, WHETHER DUE TO NEGLIGENCE OR OTHERWISE;
ANY STATEMENTS, OFFERS, OR REPRESENTATIONS MADE BY THIRD PARTIES ABOUT IMPORTAPAY OR ITS SERVICES;
VIRUSES, MALWARE, OR OTHER HARMFUL CODE TRANSMITTED THROUGH THE PLATFORM;
THE CONDUCT OR CONTENT OF ANY THIRD PARTY USING THE SERVICES; AND
ANY TRANSACTIONS CONDUCTED THROUGH THE PLATFORM.
IMPORTAPAY IS NOT LIABLE FOR NETWORK DISRUPTIONS, TRANSACTION DELAYS, OR THIRD-PARTY FEES, AND UNDER NO CIRCUMSTANCES SHALL IMPORTAPAY OR ITS AFFILIATES BE LIABLE FOR ANY CLAIMS OR DAMAGES RELATING TO ANY AMOUNT PAID BY YOU FOR ANY TRANSACTIONS.
6.2. Indemnity
You agree to indemnify and hold ImportaPay and its affiliates harmless from any claims, damages, or liabilities arising from your use of the Platform.
6.3. Your Liability
Your liability in the use of the services is as follows:
6.3.1. General Liability
You are responsible for all reversals, chargebacks, claims, fees, fines, penalties, and other liability incurred by ImportaPay, another User, or a third party caused by or arising out of your breach of these Terms or your use of the ImportaPay Services. You agree to reimburse ImportaPay, an affected User or a third party for any or all of such liability.
6.3.2. Liability for Your Account Instructions
ImportaPay shall rely on any instructions you give on your Account (verbal or in writing) with respect to providing you the Services once you have been authenticated. ImportaPay will not be liable for any loss or damage you or anyone else suffers where ImportaPay acts on those instructions in good faith, unless proved that ImportaPay was negligent.
6.3.3. Reimbursement for Your Liability
In the event that you are liable for any amounts owed to ImportaPay, ImportaPay may immediately remove such amounts from your balance. If you do not have a sufficient balance to cover your liability, your remaining balance (if any) will be removed, your Account will have negative balance up to the amount of your liability, and you will be required to immediately add funds to your ImportaPay balance or reimburse ImportaPay through an alternative method. If you do not do so, ImportaPay may engage in collection efforts to recover such amounts from you.
6.4. Warranties
6.4.1. By using the Services, you warrant that you have met the eligibility in Clause 3.2 and shall comply with these Terms and applicable laws in your jurisdiction.
6.4.2. ImportaPay warrants that it complies with all regulatory requirements of the Central Bank of Nigeria, Nigerian Financial Intelligence Unit, the Nigeria Data Protection Regulation, and global anti-financial crime standards including those issued by the Financial Action Task Force.
6.4.3. Disclaimer
ImportaPay does not independently operate as a licensed deposit-taking financial institution. All monetary services, including deposits, withdrawals, domestic and international transfers, are executed through fully licensed and regulated third-party financial partners, including 9 Payment Service Bank (9PSB) and Unlimit Global. ImportaPay serves as a front-facing, digital interface facilitating secure financial access, identity verification, and compliance operations within a tightly controlled technological ecosystem.
